FIVE-YEAR LIMITED WARRANTY

Effective for products purchased on or after the date indicated on the accompanying purchase documentation.

1. SCOPE OF WARRANTY

Amersol (Amersol Supply) (“Manufacturer”) warrants to the original purchaser (“Purchaser”) that each fully assembled luminaire bearing an authorized Amersol part number (“Product”) shall be free from defects in materials and workmanship for a period of five (5) years from the date of original purchase (“Warranty Period”). This warranty applies solely to Products that have been manufactured, assembled, and quality-tested at Amersol’s facilities using Amersol-supplied LED modules, drivers, and internal wiring.

2. WARRANTY CONDITIONS

This warranty is contingent upon satisfaction of all of the following conditions: (a) the Product must be installed by a qualified, licensed electrician in compliance with all applicable local, state, and federal electrical codes, including but not limited to the National Electrical Code (NEC); (b) the Product must be operated strictly within the electrical ratings, environmental specifications, and application parameters published in the corresponding Amersol product data sheet; (c) the Product must not have been subjected to any alteration, modification, repair, or disassembly by any party other than Amersol or its authorized agents; and (d) the Product must be used in a manner consistent with its intended commercial or industrial application as described in Amersol’s published product literature.

3. EXCLUSIONS FROM COVERAGE

This warranty does not apply to, and Amersol shall have no obligation with respect to, any Product failure, defect, or damage arising from or attributable to any of the following:

(a) Installation and Environmental Factors: Improper, incorrect, or non-code-compliant installation; connection to improper voltage, phase, or frequency supply; power surges, voltage spikes, lightning strikes, or other electrical anomalies; exposure to environmental conditions beyond the Product’s published ratings, including but not limited to extreme temperatures, corrosive atmospheres, excessive moisture, or chemical exposure not specified in the product data sheet.

(b) Misuse and Negligence: Physical abuse, impact damage, neglect, or failure to perform reasonable maintenance; operation of the Product in any manner inconsistent with Amersol’s published instructions or beyond the Product’s rated duty cycle and operating parameters.

(c) Unauthorized Modification: Any alteration, retrofit, repair, or modification to the Product performed by any party other than Amersol or an Amersol-authorized representative, including but not limited to changes to wiring, driver replacement, optical reconfiguration, or firmware modification.

(d) External Causes: Damage caused by acts of God, fire, flood, earthquake, war, terrorism, civil disturbance, or any other force majeure event; damage occurring during shipping or transit after the Product has left Amersol’s shipping dock.

(e) Normal Wear and Degradation: Gradual LED lumen depreciation consistent with industry-standard L70 lifetime projections as published by Amersol; minor cosmetic changes including surface discoloration, fading, or oxidation that do not affect the functional performance of the Product; consumable components such as gaskets and seals subject to normal wear.

(f) Third-Party Integration: Use of Amersol components, sub-assemblies, or parts within non-Amersol assemblies or systems not manufactured by Amersol; incompatibility or failure caused by third-party controls, dimmers, sensors, or connected devices not approved by Amersol for use with the Product.

(g) Non-Compliance: Operation of the Product in violation of any applicable law, regulation, building code, or safety standard.

4. CLAIM PROCEDURE

To initiate a warranty claim, the Purchaser must: (a) notify Amersol in writing within thirty (30) days of discovering the alleged defect; (b) provide the original proof of purchase showing the date of sale and the complete Amersol part number; (c) furnish a detailed description of the defect, including photographs if requested; and (d) make the Product available for inspection by Amersol at the Purchaser’s location or ship the Product to Amersol’s designated facility as directed. Amersol reserves the right to inspect any Product for which a warranty claim has been submitted prior to authorizing any remedy. Failure to comply with any of the foregoing requirements may result in denial of the warranty claim.

5. REMEDIES

Upon verification of a valid warranty claim, Amersol shall, at its sole discretion: (a) repair the defective Product using new or refurbished components of equal or superior quality; (b) replace the defective Product with a new or refurbished Product of equal or superior specifications; or (c) issue a credit or refund not to exceed the original purchase price of the defective Product. The selection of remedy shall be at Amersol’s sole and absolute discretion. Repaired or replaced Products shall be warranted for the remainder of the original Warranty Period only and shall not receive a new or extended warranty term. Amersol shall not be responsible for any costs associated with removal, reinstallation, shipping, labor, or any other expenses incurred in connection with the replacement or repair of a warranted Product.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Amersol’s total liability under this warranty shall not exceed the original purchase price paid by the Purchaser for the specific Product giving rise to the claim. In no event shall Amersol be liable for any incidental, consequential, special, punitive, or indirect damages of any kind, including but not limited to lost profits, lost revenue, business interruption, cost of substitute goods, property damage, personal injury claims, or any damages arising from the use or inability to use the Product, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if Amersol has been advised of the possibility of such damages.

7. DISCLAIMER OF OTHER WARRANTIES

This warranty is the sole and exclusive warranty provided by Amersol with respect to the Product. Amersol hereby disclaims all other warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. No employee, agent, dealer, distributor, or representative of Amersol is authorized to modify, extend, or expand this warranty in any manner. Any representation or warranty made by such parties shall not be binding upon Amersol.

8. TRANSFERABILITY

This warranty is extended to the original Purchaser only and is not transferable or assignable to any subsequent owner, purchaser, or end user of the Product without the prior written consent of Amersol.

9. GOVERNING LAW AND DISPUTE RESOLUTION

This warranty shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws provisions. Any dispute arising under or in connection with this warranty shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Missouri. The Purchaser hereby consents to the personal jurisdiction of such courts.
